Effective Date: October 16, 2026
These Mable Connect Terms of Use (these “Terms”) are a binding agreement between Mable Wholesale Inc. (“Mable,” “we,” “us,” or “our”) and the retail business that registers for, connects any account to, or otherwise uses Mable Connect (the “Retailer,” “you,” or “your”). By clicking “I agree,” connecting any Point-of-Sale (“POS”), distributor, supplier, or other third-party account to Mable Connect, providing any credentials, or otherwise accessing or using Mable Connect, you accept and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and “you” refers to that entity.
If you do not agree to these Terms, do not connect any account or use Mable Connect.
1. Overview of Mable Connect
Mable Connect (also marketed as “SmartPO”) is a procurement platform that integrates with your POS system and your distributor and supplier accounts to retrieve inventory, sales, catalog, order, and invoice data; generate purchase-order recommendations; and, where you enable it, prepare and submit purchase orders on your behalf. To provide these services, Mable connects to your third-party accounts through one or more of the methods described in Section 3.
These Terms govern your use of Mable Connect and supplement, and are in addition to, Mable’s Retailer Terms of Use and Privacy Policy, each of which is incorporated by reference. In the event of a direct conflict between these Terms and the general Retailer Terms of Use with respect to Mable Connect, these Terms control.
2. Appointment of Mable as Your Authorized Agent
You appoint Mable, and Mable’s software, automated systems, and AI agents acting on your behalf (collectively, the “Mable Agent”), as your limited agent for the purpose of accessing your Connected Accounts (defined below) and performing the following actions that you enable: (a) retrieving and analyzing inventory, sales, catalog, order history, invoice, pricing, and related data; (b) generating purchase-order recommendations; (c) where you enable order submission, preparing, submitting, and confirming purchase orders with your distributors and suppliers; and (d) performing related tasks reasonably necessary to deliver Mable Connect (collectively, the “Authorized Actions”).
You acknowledge and agree that:
- You are the principal and Mable is your agent. Authorized Actions the Mable Agent takes within the scope of this appointment are taken by you, through Mable, and are your acts.
- The Mable Agent may act through automated software and artificial-intelligence systems without a human reviewing each individual action, subject to the standard of care in Section 6.
- This appointment is limited to the Authorized Actions and does not authorize Mable to take any action outside the scope of Mable Connect. This appointment does not create a general agency, partnership, joint venture, or fiduciary relationship beyond the limited agency expressly described here.
- You may revoke this appointment as to any Connected Account at any time as described in Section 8.
3. Connected Accounts and Connection Methods
“Connected Accounts” means any POS, distributor, supplier, or other third-party account you connect to, or authorize Mable to access through, Mable Connect. Connections are established as follows:
3.1 Authorized access. You agree to provide Mable all authorized user access, whether via API, EDI, login credentials, or other access method, necessary for Mable to perform the services described under these Terms. You are responsible for maintaining Mable’s authorized access. You may revoke that access at any time, but you acknowledge and agree that Mable may not be able to provide Mable Connect without that access. You acknowledge and authorize that, in performing Authorized Actions, the Mable Agent may access and interact with your Connected Accounts using your credentials, a delegated user account you add for Mable, or a Mable-controlled email address or agent identity associated with your store, and that all such interactions are made on your behalf and with your authority.
3.2 Other connections. Mable may add support for additional POS systems, distributors, suppliers, or connection methods from time to time. Your use of any such connection is governed by these Terms.
4. Your Representations, Authority, and Responsibilities
You represent, warrant, and agree, on a continuing basis, that:
- Authority to connect and appoint an agent. You own or are authorized to use each Connected Account, and you have full right and authority to connect it to Mable Connect, to provide any credentials you provide, and to appoint Mable as your agent to take the Authorized Actions. You have obtained any consents required from any account owner or authorized user.
- No violation of third-party terms. Connecting your accounts, sharing credentials, adding Mable as a user, and authorizing the Mable Agent to act on your behalf do not and will not violate any agreement between you and any POS provider, distributor, supplier, or other third party. You are solely responsible for reviewing and complying with the terms of your Connected Accounts, and you assume the risk that a third party may object to, restrict, suspend, or terminate access obtained through Mable Connect. Mable is not affiliated with, endorsed by, or acting for any POS provider, distributor, or supplier; Mable is not a buyer, reseller, or marketplace participant with respect to your Connected Accounts; and Mable makes no representation that credential sharing or agent access is permitted by any given third party.
- Accurate credentials and information. The credentials, account information, and other information you provide are accurate, current, and complete, and you will keep them up to date. You will not provide credentials or access to any account or data that you lack legal authority to share.
- Lawful use. You will use Mable Connect only for your legitimate business purposes and in compliance with applicable law, and you are responsible for compliance with the terms of service of any third party whose account you connect.
- Orders and payment obligations. You are responsible for payment for, and performance of, all purchase orders placed through your Connected Accounts, including orders prepared or submitted by the Mable Agent, and for your relationships with your distributors and suppliers.
5. Purchase Orders and Order Submission
5.1 Recommendations. Purchase-order recommendations generated by Mable Connect are decision-support tools based on the data available to Mable, which may be incomplete or inaccurate (for example, due to missing barcodes/GTINs, stale inventory counts, or data-quality issues in a Connected Account). Recommendations are estimates and do not guarantee availability, pricing, delivery, or fitness for your needs.
5.2 Order submission and review. Where you enable order submission, the Mable Agent may prepare and submit purchase orders to your distributors and suppliers on your behalf. You are responsible for the orders placed through your Connected Accounts. You agree that you are solely responsible for reviewing all orders and order recommendations before submission, and your approval (including through settings you configure to authorize automatic submission) constitutes your authorization of that order. You may configure available controls, such as approval requirements, order limits, or excluded items, and you are responsible for the settings you choose.
5.3 Shared responsibility for order errors. Mable will use reasonable care as described in Section 6 in preparing and submitting orders. You agree that you will remain responsible for inaccurate or incomplete data in a Connected Account, your configured settings, your approvals, third-party systems, or other causes outside Mable’s reasonable control. This Section is subject to the limitations of liability in Section 11.
6. Standard of Care
Mable will perform the Authorized Actions and provide Mable Connect using commercially reasonable care and skill consistent with industry standards.
7. Credential Storage, Data, and Security
7.1 Credential security. Credentials you provide are encrypted and stored using industry-standard security protocols. We do not sell your credentials, and we do not disclose them to third parties except to service providers acting on our behalf under confidentiality obligations, as needed to provide Mable Connect, or as required by law.
7.2 Data we process. In providing Mable Connect, Mable retrieves and processes data from your Connected Accounts, including inventory, sales, catalog, order, invoice, and pricing data (“Retailer Data”). Mable’s collection and use of personal information is described in the Privacy Policy.
7.3 License to use Retailer Data. You grant Mable a non-exclusive, worldwide, royalty-free license to access, store, process, reproduce, and use Retailer Data to: (a) provide, maintain, and support Mable Connect for you; (b) generate recommendations and reporting; and (c) develop, improve, train, and enhance Mable’s products, services, models, and algorithms using de-identified Retailer Data (from which information that identifies you or any individual has been removed), and produce aggregated or de-identified analytics and benchmarks. Mable will not publicly disclose Retailer Data in a form that identifies you except with your consent or as permitted in the Privacy Policy. Aggregated and de-identified data that does not identify you or any individual is not subject to this restriction and may be used and retained by Mable without limitation. You represent and warrant that you have all rights, authorization and consents required to share the Retailer Data with Mable, and that Mable’s use thereof in accordance with these Terms will not infringe, misappropriate or otherwise violate the rights of any third party.
7.4 Security disclaimer. While Mable implements stringent security measures, no method of electronic transmission or storage is entirely secure. You provide credentials and connect accounts at your own risk. Mable will not be liable for unauthorized access to, loss of, or misuse of your credentials or Retailer Data except to the extent directly caused by Mable’s failure to maintain reasonable security practices.
8. Revocation, Suspension, and Termination
8.1 Your revocation. You may revoke Mable’s access to any Connected Account at any time through your Mable account settings, by removing Mable’s authorized-user or API access at the third party, or by contacting support@meetmable.com. Upon revocation, Mable will promptly cease accessing that Connected Account and delete stored credentials associated with it. Revocation does not affect orders already submitted or obligations already incurred.
8.2 Effect on retrieved data. Retailer Data retrieved before revocation or termination may be retained by Mable for analytical, operational, legal, and product-improvement purposes, and in aggregated or de-identified form, unless you request deletion and except where retention is required or permitted by law.
8.3 Suspension and termination by Mable. Mable may suspend or terminate your access to Mable Connect, or any connection, at any time, including if Mable believes your use violates these Terms, creates risk or legal exposure, or is required by a third party or by law.
8.4 Verification and communication. Mable may contact you to verify credential updates, confirm connections or orders, follow up on recommendations, or provide assistance.
9. Fees
Fees for Mable Connect, if any, are as set forth in your order form, subscription, or other agreement with Mable. Except as expressly stated, fees are non-refundable.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MABLE CONNECT, ALL RECOMMENDATIONS, AND ALL AUTHORIZED ACTIONS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” AND MABLE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. MABLE DOES NOT WARRANT THAT MABLE CONNECT WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DATA RETRIEVED WILL BE ACCURATE OR COMPLETE, OR THAT ANY RECOMMENDATION OR ORDER WILL MEET YOUR REQUIREMENTS. MABLE IS NOT RESPONSIBLE FOR THE ACTS, OMISSIONS, AVAILABILITY, OR TERMS OF ANY POS PROVIDER, DISTRIBUTOR, SUPPLIER, OR OTHER THIRD PARTY.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) MABLE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO MABLE CONNECT OR THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (b) MABLE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO MABLE CONNECT OR THESE TERMS WILL NOT EXCEED THE GREATER OF (i) THE TOTAL FEES YOU PAID TO MABLE FOR MABLE CONNECT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND (ii) FIVE HUNDRED U.S. DOLLARS ($500). NOTWITHSTANDING CLAUSE (b), FOR DIRECT DAMAGES ARISING FROM AN ERRONEOUS PURCHASE ORDER SUBMITTED BY THE MABLE AGENT AS A RESULT OF MABLE’S FAILURE TO MEET THE STANDARD OF CARE IN SECTION 6, MABLE’S AGGREGATE LIABILITY FOR THAT ORDER WILL NOT EXCEED THE GREATER OF (x) THE INVOICED VALUE OF THE ERRONEOUS OR UNINTENDED PORTION OF THAT ORDER AND (y) THE CAP IN CLAUSE (b), WHICH THE PARTIES AGREE IS A REASONABLE MEASURE OF DAMAGES FOR SUCH ERRORS. THE LIMITATIONS IN THIS SECTION APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW AND ARE A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN THE PARTIES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN OF THESE LIMITATIONS, WHICH MAY NOT APPLY TO YOU.
12. Indemnification
You will defend, indemnify, and hold harmless Mable, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees and costs, arising out of or relating to: (a) your provision of credentials or connection of any account; (b) your breach of any agreement with, or the terms of service of, any POS provider, distributor, supplier, or other third party; (c) any Authorized Action taken by the Mable Agent within the scope of the authority you granted, including any order placed on your behalf, except to the extent caused by Mable’s failure to meet the standard of care in Section 6; (d) your lack of authority to connect an account, share credentials, or appoint Mable as your agent; (e) any purchase order, payment obligation, or dispute with a distributor or supplier; and (f) your violation of these Terms or applicable law.
13. Dispute Resolution; Binding Arbitration; Class-Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
13.1 Informal resolution. Before initiating any formal proceeding, the parties will attempt in good faith to resolve any dispute by contacting the other in writing, and will negotiate for at least thirty (30) days.
13.2 Binding arbitration. Except as provided below, any dispute, claim, or controversy arising out of or relating to Mable Connect or these Terms will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, on an individual basis. The seat of arbitration will be Wilmington, Delaware, and the arbitration will be conducted in English.
13.3 Class-action waiver. The parties agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one party’s claims or preside over any form of a representative or class proceeding.
13.4 Exceptions. Either party may (a) bring an individual claim in small-claims court, and (b) seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Subject to Section 13, the state and federal courts located in Wilmington, Delaware will have exclusive jurisdiction over any dispute not subject to arbitration, and the parties consent to the personal jurisdiction of those courts.
15. Changes to These Terms
Mable may update or modify these Terms from time to time. Material changes will be communicated through Mable Connect or by other reasonable means. Your continued use of Mable Connect after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using Mable Connect and revoke your connections.
16. Miscellaneous
These Terms, together with the Retailer Terms of Use and Privacy Policy, constitute the entire agreement between you and Mable regarding Mable Connect. If any provision is held unenforceable, the remaining provisions will remain in effect. Mable’s failure to enforce any provision is not a waiver. You may not assign these Terms without Mable’s prior written consent; Mable may assign these Terms in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates any third-party beneficiary rights.
